NEW YORK, June 17 (Infinite Headlines) — SpaceX said in a June 16 securities filing and regulatory announcement that it is proceeding with a $60 billion all-stock acquisition of Cursor after the companies began working together on AI for coding and knowledge work.

SpaceX said the transaction is expected to close in the third quarter of 2026 and that Cursor will become a wholly owned subsidiary when the deal closes.

Reuters, citing SpaceX’s filing, reported that the purchase will be paid entirely in stock and will not use funds from SpaceX’s IPO. Reuters also reported that SpaceX would owe a $10 billion termination fee under certain conditions if the agreement does not close.

The move follows an April announcement on X in which SpaceX said it had the right to acquire Cursor later in 2026 for $60 billion or instead pay $10 billion for the companies’ collaborative work.

In that April announcement, SpaceX said it and Cursor were working together on “coding and knowledge work AI.” SpaceX also said the effort would combine Cursor’s product and distribution with its Colossus training supercomputer, which the company described as having “million H100 equivalent” compute.
